Adam Cook is an Investment Banking Professional with broad-based experience in advising companies, private equity funds and lenders on both special situation and main-stream transactions in a variety of industries. His expertise ranges from domestic and cross border Merger and Acquisition advisory (both in and outside of Chapter 11), Complex Restructurings, Article 9 Sales, Assignment for the Benefit of Creditor Transactions (“ABC”), Re-Financings and Balance Sheet Restructurings. Mr. Cook has participated in transactions totaling over $4 billion in enterprise value and is the Group Head of Phoenix Capital Resources.

Selected Investment Banking Transactions

Served as the Financial Advisor to Bag’ n Baggage (also provided expert witness testimony) as part of this luxury luggage retailer’s 363 bankruptcy sale to a partnership between Gart Capital Partners and Colorado Baggage. The transaction created one of the nation’s largest specialty retailers of luxury luggage and accessories.

Served as the Financial Advisor to Spiegel Brands, Inc. in its Article 9 Sale to Patriarch Partners. The sale of this direct marketer of women’s apparel ($200 million in Sales) returned a 100% recovery for the secured lender, provided significant recovery to the 2nd lien holder and honored all customer liabilities.

Led the sale of BTWW Retail, a $150 million retailer of western wear apparel, to Boot Barn, Inc., a portfolio company of Marwit Capital Partners. Two of the transactions were consummated out of court, while the third was a 363 sale.

Served as the Financial Advisor to Shapiro Luggage, one of the largest luggage and gift chains in the midwest, in its sale to Bergman Luggage.

Led the sale of Micro Innovations to Digital Innovations, Inc. Proceeds from the sale were at a significant premium relative to a liquidation scenario.
Served as the Financial Advisor to one of two 50% equity holders (compressed gas & dry ice distributor) in a shareholder dispute. Client received a premium 3X greater settlement payment than the original offer presented prior to retention.

Refinanced a $60 million Midwestern Tier 1 and Tier 2 automotive supplier’s senior credit facility during a period of extremely difficult credit market activity. Transaction provided the working capital and financial stability required to position for long term growth.

Served as the Financial Advisor to Cloyes Gear and Products, a $100 million manufacturer of automotive components, in its sale to KPS Special Situations Fund.

Served as the Investment Banker to Wayn-Tex, Inc. the world’s third largest carpet backing manufacturer, to Mohawk Industries, the company’s largest customer. The Transaction achieved a substantial premium relative to alternative leveraged buy-out scenarios.

Led the non-core business divesture effort for Covanta Energy Corporation, a $700 million conglomerate, during its Chapter 11 bankruptcy, generating significant value for the estate.

Prior Experience

Before joining Phoenix Capital Resources as Managing Director and Head of Investment Banking, Mr. Cook led a boutique regional investment banking group focused on special situations. During his leadership tenure, Adam led many transactions within the consumer products & retail sectors for private, family owned and public entities.

Prior to this Mr. Cook served as a Director at Glass & Associates and Loughlin Meghji + Company, both in special situation M&A advisory positions. Earlier in his career he had stops at PWC and Credit Suisse First Boston where he served many clients including Fortune 500 companies such as IBM, SPX, Johnson & Johnson and Corning.

Education/Affiliations

Mr. Cook graduated with a BS degree in Business Administration from the University of Rhode Island in 1997. He has been published in various industry media on subjects involving Mergers and Acquisitions and is often asked to speak at various TMA and ACG seminars as an Investment Banking Expert. Adam is a member of the Association of Corporate Growth. Mr. Cook is registered with the Financial Industry Regulatory Authority (FINRA) and holds his Series 79 and Series 63 licenses.
